(All Platform Users – Brokers, Shippers, Carriers, Dispatchers, Drivers, and Logistics Participants)

Introduction

These Terms of Use (“Agreement”) constitute a legally binding agreement between Just Tracking LLC (“Just Tracking”, “Company”, “we”, “us”, or “our”) and any individual or entity accessing or using the Just Tracking website, software, mobile applications, or related services (collectively, the “Service”).

The Just Tracking platform provides shipment visibility and freight tracking technology designed to assist logistics industry participants in monitoring and managing freight movements.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you do not agree with these Terms of Use, you must not access or use the Service.

Scope

This Agreement applies to all users of the Just Tracking platform, including but not limited to:

  • freight brokers
  • shippers
  • motor carriers
  • dispatchers
  • drivers
  • logistics companies
  • supply chain partners
  • authorized representatives of transportation companies.

These Terms govern all access to and use of the Just Tracking Service, including:

  • the website
  • mobile applications
  • tracking systems
  • analytics tools
  • platform integrations
  • communication features.

The Service is intended for commercial use within the transportation and logistics industry.

Nothing in this Agreement creates any partnership, joint venture, agency relationship, or employment relationship between Just Tracking and any user of the Service.

Service Overview

Just Tracking provides a technology platform designed to enable shipment visibility and freight tracking for logistics industry participants.

The Service may include features such as:

  • GPS shipment tracking
  • shipment status monitoring
  • logistics visibility dashboards
  • freight notifications
  • tracking analytics
  • shipment event reporting
  • route visibility tools.

The platform is intended solely as a technology service that facilitates information sharing between logistics participants.

Just Tracking does not transport freight, arrange transportation, or operate vehicles.

Platform Neutrality

Just Tracking acts solely as a technology service provider.

The Company does not:

  • operate as a motor carrier
  • operate as a freight broker
  • arrange transportation
  • negotiate freight rates
  • dispatch drivers
  • take possession of cargo
  • verify shipment details
  • guarantee delivery performance.

All transportation agreements occur solely between brokers, shippers, carriers, dispatchers, drivers, and other logistics participants.

Just Tracking does not participate in or control those transactions.

Eligibility

By using the Service you represent and warrant that:

  • you are authorized to operate as a broker, shipper, carrier, dispatcher, driver, logistics company, or authorized representative
  • you comply with all applicable federal, state, and local transportation regulations
  • you comply with all commercial and contractual obligations relevant to your role
  • you are at least 18 years of age
  • you have authority to bind your company to this Agreement.

Account Registration and User Responsibilities

Access to the Service requires registration of a user account.

Users agree to:

  • provide accurate and truthful business information
  • maintain the security of login credentials
  • restrict access to authorized personnel
  • notify Just Tracking immediately if account credentials are compromised.

Users are fully responsible for all activity conducted through their account.

Just Tracking is not responsible for unauthorized access resulting from failure to protect account credentials.

Carrier Responsibilities

Motor carriers using the Service are responsible for ensuring that they:

  • maintain valid operating authority where required
  • maintain required cargo and liability insurance
  • comply with all applicable transportation regulations
  • ensure drivers are properly licensed and authorized
  • provide accurate tracking information when required.

Carriers remain solely responsible for:

  • transportation operations
  • cargo handling
  • driver conduct
  • regulatory compliance
  • shipment performance.

Just Tracking does not supervise or control carrier operations.

Dispatcher Responsibilities

Dispatchers using the platform represent that they are authorized by the motor carrier they represent.

Dispatchers agree not to:

  • misrepresent themselves as licensed freight brokers when brokerage authority is required
  • post fraudulent freight information
  • impersonate carriers, brokers, or shippers
  • misuse platform communication tools.

Disputes between dispatchers and carriers remain solely between those parties.

Driver Responsibilities

Drivers using devices connected to the Just Tracking platform agree that:

  • location data may be transmitted from the device for shipment visibility purposes
  • tracking may occur while a shipment is active
  • device use must comply with all safety and transportation laws.

Drivers should not interact with mobile devices while operating a vehicle in violation of distracted driving laws.

Just Tracking does not monitor driver behavior or enforce compliance with transportation regulations.

GPS Tracking and Location Information

The Just Tracking platform may collect location data from mobile devices used in transportation operations.

Location information may include:

  • GPS coordinates
  • route information
  • timestamps
  • device status
  • connectivity information.

Location information may be shared with authorized participants involved in the shipment.

Just Tracking provides approximate location information only and does not guarantee accuracy, completeness, or continuous availability.

Tracking services should not be relied upon for emergency or safety purposes.

Device and Connectivity Responsibility

Users are responsible for maintaining devices used to access the Service, including:

  • smartphones
  • tablets
  • onboard tracking equipment
  • internet connectivity.

Tracking performance may be affected by:

  • network coverage
  • device battery levels
  • device settings
  • environmental conditions.

Just Tracking does not guarantee uninterrupted tracking availability.

Freight Fraud Prevention

The freight industry involves risks including:

  • double brokering
  • identity theft
  • cargo theft
  • fraudulent dispatch services
  • carrier impersonation.

Just Tracking provides technology tools but does not verify the legitimacy of every transportation participant.

Users remain responsible for verifying:

  • broker authority
  • carrier operating authority
  • insurance coverage
  • shipment documentation.

Just Tracking shall not be liable for fraud, cargo theft, or fraudulent transactions conducted by users or third parties.

BROKER/CARRIER/USER Verification Disclaimer

While Just Tracking may perform certain verification checks and review publicly available information in an effort to confirm the legitimacy of users and transportation participants on the platform, such verification processes are limited and cannot guarantee the accuracy, completeness, or current validity of such information.

Just Tracking does not certify, endorse, or guarantee the qualifications, legitimacy, or performance of any:

  • carrier
  • broker
  • shipper
  • dispatcher
  • driver
  • logistics partner.

While Just Tracking may review publicly available information or perform limited verification checks, such processes cannot guarantee accuracy or current validity.

Users remain solely responsible for independently verifying the identity, authority, and qualifications of any transportation participant before entering into freight transactions, including but not limited to verifying:

  • FMCSA operating authority
  • safety ratings
  • insurance coverage
  • regulatory compliance.

Use of the Service does not eliminate the need for standard industry due diligence, and Just Tracking shall not be liable for any damages or losses resulting from inaccurate, incomplete, or outdated verification information.

Users remain responsible for performing independent due diligence.

To protect the integrity and security of the platform, the Company may review publicly available regulatory information and other verification data when evaluating Carrier and Broker account applications.

The Company reserves the right, in its sole discretion, to deny, delay, or request additional verification for any Carrier or Broker application if material changes to the applicant's regulatory information have occurred shortly before the application is submitted. For example, the Company may decline or postpone approval where the applicant's MCS-150 registration has been updated within the seven (7) days preceding the application submission, or where such changes require additional verification.

Nothing in this section obligates the Company to approve any application, and all approval decisions remain at the Company's sole discretion.

Freight Data Ownership and Shipment Visibility

Users retain ownership of shipment data submitted to the platform.

By using the Service you grant Just Tracking a non-exclusive license to:

  • collect
  • process
  • store
  • analyze
  • transmit
  • tracking data necessary to operate the Service.

Tracking data may be shared with authorized shipment participants including:

  • brokers
  • shippers
  • carriers
  • dispatchers
  • drivers
  • logistics partners.

Just Tracking may use aggregated or anonymized data for service improvement and analytics.

Acceptable Use and Restrictions

Users agree not to:

  • misuse the platform
  • post fraudulent shipment information
  • reverse engineer the Service
  • attempt to bypass platform security
  • scrape or harvest data
  • create competing services using platform data
  • use the Service for unlawful activity.

Violation may result in account suspension or termination.

Cargo Liability Disclaimer

Just Tracking does not assume responsibility for cargo.

The Company shall not be liable for:

  • cargo loss
  • cargo damage
  • cargo delay
  • spoilage
  • cargo theft.

Cargo liability remains solely between the shipper, broker, carrier, and their insurers.

Cargo Theft and Security Risks

Tracking information may be affected by:

  • network interruptions
  • device connectivity issues
  • hardware malfunctions
  • environmental conditions.

Just Tracking does not guarantee the prevention of cargo theft or shipment interception.

Users remain responsible for implementing appropriate cargo security procedures.

Double Brokering and Fraud Disclaimer

The freight industry may involve risks such as:

  • double brokering
  • identity fraud
  • unauthorized dispatch activity.

Just Tracking shall not be responsible for losses arising from fraudulent transactions conducted by platform users.

Account Deletion and Data Retention

Users have the right to terminate their access to the Just Tracking platform at any time by requesting deletion of their account or by using available account deletion functionality within the Service.

Upon account deletion:

  1. access to the Service will be permanently revoked
  2. the account will be deactivated and scheduled for deletion.

Just Tracking may retain certain data associated with the account for a limited period of time as required for:

  • legal compliance
  • dispute resolution
  • fraud prevention
  • enforcement of agreements.

Such data will be retained for a period of up to six (6) months following account deletion.

After this retention period:

  1. all personal data, tracking data, and associated information will be permanently deleted or irreversibly anonymized
  2. such data will no longer be recoverable.

Users acknowledge that once data has been deleted, it cannot be restored.

Suspension and Account Termination

Just Tracking reserves the right to suspend or terminate accounts that:

  1. violate this Agreement
  2. engage in fraudulent activity
  3. misuse the platform
  4. create security risks.

Limitation of Liability

To the maximum extent permitted by law, Just Tracking shall not be liable for:

  • indirect damages
  • lost profits
  • business interruption
  • cargo loss
  • shipment delays
  • data loss.

Total liability shall not exceed the amount paid by the user for the Service during the previous twelve months.

Indemnification

Users agree to indemnify and hold harmless Just Tracking LLC and its affiliates from claims arising from:

  • misuse of the Service
  • fraudulent activity
  • violation of this Agreement
  • transportation disputes between users.

Force Majeure

Just Tracking shall not be liable for delays or failures caused by events beyond reasonable control including:

  • natural disasters
  • telecommunications failures
  • cyberattacks
  • government actions
  • war or terrorism.

Policy Changes

We may revise this Agreement from time to time.

Material updates will be posted on our website.

Continued use of the Service constitutes acceptance of the updated Agreement.

Governing Law

This Agreement shall be governed by the laws of the State of Nevada, United States, without regard to conflict-of-law principles.
